Obviously, Orlando doesn't want a coach who doesn't want to be there, so that's an easy choice for them. But they want to ensure that he doesn't change his mind next year and sign with another team (especially in their division).
You're exactly right. Billy Donovan has all the leverage in the negotiations. If the Orlando Magic refused to release Donovan from his contract, Donovan would do a poor job coaching the team until he was fired.

I understand why Orlando wants to keep Donovan out of the NBA for at least five years, and there may be some money involved, too.
